Terms of Trade – Reading Furniture & Joinery
1. Definitions
• Company: Reading Furniture & Joinery, operating in New South Wales, Australia.
• Client: The individual or entity purchasing goods or services from the Company.
• Goods: Joinery products, including but not limited to cabinets, countertops, doors, and custom furniture.
• Services: Design, manufacturing, installation, and any other related services provided by the Company.
2. Acceptance of Terms
By placing an order with the Company, the Client agrees to these Terms of Trade. Any variations to these terms must be agreed upon in writing by the Company.
3. Pricing and Quotations
• All prices are in Australian Dollars (AUD) and exclude GST unless stated otherwise.
• Quotations are valid for [15 days] from the date of issue, unless otherwise specified.
• The Company reserves the right to adjust prices if there are changes in material costs, design specifications, or other factors beyond the Company’s control.
4. Payment Terms
The following payment schedule applies to all Joinery orders:
1. 10% Deposit: Payable upon acceptance of the quotation or order confirmation.
2. 45% Partial Payment: Payable upon commencement of manufacturing or at a pre-agreed milestone.
3. 40% Partial Payment: Payable upon completion of manufacturing and prior to delivery or installation.
4. 5% Final Payment: Payable upon completion of installation and Client approval.
The Following payment Schedule applies to all Furniture Orders:

• Payments must be made via [bank transfer, credit card, etc.].
• Late payments will incur interest at a rate of 7% per month or the maximum allowable under the NSW Interest Rates legislation.
5. Cancellation and Changes
• If the Client cancels an order after the deposit has been paid, the deposit is non-refundable.
• Any changes to the design or specifications after the order has been confirmed will result in additional charges and delays and will fall under variations.
6. Delivery and Installation
• Delivery and installation dates are estimates only and are subject to change due to unforeseen circumstances.
• The Client is responsible for ensuring the site is ready for delivery and installation, including providing clear access and necessary utilities.
• Any delays caused by the Client will result in additional charges.
7. Ownership and Risk
• Ownership of the Goods remains with the Company until full payment is received, in accordance with the Personal Property Securities Act 2009 (Cth).
• Risk for the Goods passes to the Client upon delivery to the site.
8. Warranties
• The Company provides a 12-month warranty on materials and workmanship, subject to fair wear and tear.
• The warranty does not cover damage caused by misuse, improper maintenance, or unauthorized modifications.
• This warranty is in addition to any rights the Client may have under the Australian Consumer Law (ACL).
9. Liability
• The Company’s liability is limited to the value of the Goods or Services provided.
• The Company is not liable for any indirect, consequential, or incidental damages.
• Nothing in these Terms of Trade limits or excludes the Company’s liability for breach of any guarantees under the Australian Consumer Law (ACL).
10. Force Majeure
The Company is not liable for delays or failure to perform due to events beyond its control, including but not limited to natural disasters, strikes, or supply chain disruptions.
11. Dispute Resolution
• Any disputes will be resolved through good faith negotiations.
• If a resolution cannot be reached, the dispute will be referred to mediation or arbitration in accordance with the laws of New South Wales.
• The Client may also refer disputes to NSW Fair Trading or another relevant authority.
12. Governing Law
These Terms of Trade are governed by the laws of New South Wales, Australia, and any legal proceedings will be conducted in the courts of NSW.
13. Entire Agreement
These Terms of Trade constitute the entire agreement between the Company and the Client and supersede all prior agreements, understandings, or representations.
